Terms of Service

1. Who you are contracting with

These Terms of Service ("Terms") form a binding agreement between you and ABC ("we", "us"), the operator of the Cartloop platform ("Cartloop", the "Service"). By creating an account or using the Service you agree to these Terms.

2. The Service

Cartloop is a software-as-a-service platform that lets merchants create and operate online stores, manage catalogues, take orders, and connect custom domains.

3. Your account

You must provide accurate information, keep it up to date, and keep your credentials confidential. You are responsible for activity under your account. If you use Cartloop on behalf of an organisation you confirm that you have authority to bind that organisation. Individual users must be of legal age to enter into a contract.

4. Acceptable use

You must not misuse the Service. In particular you must not:

• use the Service unlawfully or to send fraudulent, spam or deceptive content;
• infringe intellectual property or other rights of third parties;
• interfere with the security or integrity of the Service (including malware, probing, scanning, scraping, or circumventing technical limits);
• reverse engineer, resell or redistribute the Service except as expressly permitted.

5. Your content

You retain ownership of the content you upload to Cartloop (products, images, customer records, etc.). You grant us a limited, worldwide licence to host, store, process and display that content solely to provide the Service to you.

6. Intellectual property

ABC retains all rights, title and interest in the Service, including its software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service in line with your subscription plan.

7. Payments, billing and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service enquiries and handles returns. Payment, billing, taxes, subscription renewal, cancellation and refund mechanics are governed by the Paddle Buyer Terms, in addition to these Terms.

9. Subscription and cancellation

Paid plans renew automatically for successive billing periods until cancelled. You can cancel at any time from within your account or via Paddle (paddle.net). Cancellation stops future renewals; access continues until the end of the current billing period.

10. Suspension and termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, we may delete your data after a reasonable export window as described in our Privacy Notice.

11. Service level and warranties

We work hard to keep Cartloop available and reliable but do not guarantee that the Service will be uninterrupted or error-free. To the fullest extent permitted by law, all implied warranties (including merchantability and fitness for a particular purpose) are disclaimed.

12. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid to us (via Paddle) in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special or incidental damages, including loss of profits, revenue, data or goodwill. Nothing in these Terms excludes liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

13. Indemnity

You will indemnify ABC against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

14. Changes to the Service or Terms

We may update the Service and these Terms from time to time. Material changes will be communicated in advance where practicable. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which ABC is established, and any disputes will be handled by the competent courts of that jurisdiction, unless mandatory local law requires otherwise.

16. Assignment and force majeure

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or reorganisation. Neither party is liable for delays or failures caused by events beyond their reasonable control.
